Auction Terms & Conditions
Effective Immediately
1. Complete Terms; Applicability
All items offered for sale at any auction conducted by Twin City Auction Co. LLC (the “Auctioneer”) are subject to these Auction Terms & Conditions (the “Terms”), together with any auction-specific terms published in the auction listing, sale bill, online catalog, invoice, pickup instructions, or announced by the Auctioneer at the time of sale. These Terms apply equally to in-person auctions, online-only auctions, and hybrid or simulcast auctions in which live and internet bidding occur simultaneously. By registering, bidding, or participating in any auction, each bidder and purchaser (“Buyer”) agrees to be bound by these Terms.
2. Seller and Auctioneer Bidding Disclosure (West Virginia)
Notice is hereby given that, in every auction conducted by Twin City Auction Co. LLC, bids may be made by or on behalf of the seller and/or the Auctioneer. This disclosure is made in advance and applies uniformly to all auctions and formats. West Virginia Code § 46-2-328(4) provides that when notice is given that bidding by or on behalf of the seller or Auctioneer is permitted, such bidding is lawful. By participating, Buyers acknowledge, consent to, and waive any objection to such bidding as permitted by law. Such bidding may occur for any lawful purpose, including but not limited to protecting reserve values, advancing bidding, or facilitating the orderly conduct of the auction.
3. Online Bidding Platform (Auctionsoft)
For certain auctions, Auctioneer utilizes Auctionsoft.com (or a successor platform) to facilitate internet bidding. Auctionsoft is not the auctioneer, seller, or consignor and is not a party to the transaction. Internet bidding is subject to delays, interruptions, and technical failures (including connectivity issues, browser/device issues, and platform performance). Auctioneer shall not be liable for missed bids, failed transmissions, or platform interruptions attributable to technology failures. In the event of any conflict between platform terms and these Terms, these Terms control the auction transaction, Buyer obligations, payment, title transfer, and risk of loss.
4. Announcements Control
Any announcements or decisions made by the Auctioneer at the time of the auction (including in a simulcast environment) shall take precedence over any prior printed, posted, or online materials. The Auctioneer’s decision as to bidding increments, bid recognition, lot order, and conduct of sale shall be final, subject to the dispute authority provision below.
5. As-Is Sale; No Warranty; Inspection Encouraged
All items are sold AS-IS, WHERE-IS, WITH ALL FAULTS, and WITHOUT WARRANTY. Auctioneer makes no representations or warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Descriptions, photographs, and catalog information are provided as a guide only and may contain errors. Buyer is responsible for inspection and due diligence prior to bidding and should not rely solely on photographs. Preview opportunities, if any, will be announced in auction details.
6. All Sales Final; Binding Bids; No Bid Retraction
ALL SALES ARE FINAL. A successful bid constitutes a legally binding contract of sale. Bids are irrevocable and may not be withdrawn once placed. Buyer acknowledges that the Auctioneer, Seller, and other bidders rely on the irrevocability of bids in conducting the auction.
7. Risk of Loss
Risk of loss, damage, or destruction passes to Buyer immediately upon the fall of the hammer, acceptance of the bid, or close of online bidding (as applicable), regardless of whether Buyer has paid for or removed the item(s).
8. Bidder Number Non-Transferable; Responsibility for Bids
Bidder numbers (including online credentials) are non-transferable. All bids placed under a bidder number or account are the responsibility of the registered Buyer.
9. Governing Law; Venue
These Terms and all rights of the parties shall be governed by the laws of the State of West Virginia. Any action arising out of or relating to the auction, these Terms, or any transaction shall be brought exclusively in the courts located in Mercer County, West Virginia.
10. Failure to Remove; Storage; Abandonment; Resale; Attorneys’ Fees
Pickup times and locations will be stated in auction details or invoices. Items not removed within three (3) business days may, at Auctioneer’s sole discretion: (a) incur storage fees of $25.00 per day per lot beginning after the third business day; and/or (b) be immediately deemed abandoned without further notice. Upon abandonment, Buyer forfeits all right, title, and interest, the item(s) become the sole property of Twin City Auction Co. LLC, and Auctioneer may re-sell the item(s) at a future auction without credit, refund, or offset to the original purchaser. Auctioneer may recover all costs associated with removal, storage, resale, fees, expenses, and reasonable attorneys’ fees incurred to enforce Buyer’s obligations.
If paid item(s) are requested to be transferred to Auctioneer’s office, a $25.00 minimum transfer fee applies (subject to additional per-item costs), and transferred items must be picked up within three (3) business days. For shipped items, an unpaid invoice after two (2) business days may be treated as nonpayment and/or abandonment at Auctioneer’s discretion.
11. Buyer’s Premium
A buyer’s premium of 18% is added to the hammer price. A 3% reduction applies for payment by cash or check where permitted and approved by Auctioneer.
12. Payment Methods; Card on File Authorization
By agreeing to these Terms, Buyer authorizes Auctioneer to charge the credit card on file for purchases upon the close of the auction. Auctioneer accepts major credit cards. Local bidders may, when permitted, pay by cash or check on specified pickup days; Buyer must contact the office prior to the close of the auction to indicate intent to pay by cash or check.
13. Wire Transfer Requirement for Large Purchases
For any single invoice or aggregate purchases totaling $3,000.00 or more, payment must be made by wire transfer unless expressly approved in advance by Eric Crawford at 304-320-5883 or Tara Crawford at 304-320-8268. Wire transfers must be initiated no later than the next business day following issuance of the invoice. Buyer is responsible for all wire transfer fees. Failure to timely remit payment constitutes nonpayment and may result in enforcement under these Terms.
14. Declined Cards; Nonpayment
Any declined credit card payment must be resolved within two (2) business days by contacting Tara Crawford at 304-320-8268 or Eric Crawford at 304-320-5883 and remitting payment with a valid credit card, cash, check, or wire transfer (if applicable). Failure to do so constitutes nonpayment and may result in suspension of bidding privileges, resale of items, collection activity, and enforcement under Section 10.
15. Chargebacks and Stop Payments Prohibited
Buyer agrees not to initiate credit card chargebacks, stop payments, or payment disputes without Auctioneer’s written consent. Any chargeback or stop payment constitutes a material breach and may result in immediate loss of bidding privileges, resale of purchased items, and recovery of all costs, fees, and damages incurred by Auctioneer, including reasonable attorneys’ fees.
16. Returned Checks
Returned checks are subject to a $50.00 returned check fee, plus any bank fees and collection costs.
17. Personal Information Accuracy
Buyer is responsible for ensuring all personal information is accurate. Shipping, billing, and communication depend on that information. Auctioneer is not responsible for delays or incorrect delivery resulting from inaccurate information.
18. Shipping and Handling
Buyer is responsible for all shipping and handling charges. Twin City Auction Co. LLC’s preferred shipper is UPS; however, Auctioneer may use any reputable carrier at its sole discretion and will make reasonable efforts to utilize the most cost-efficient shipping option available based on item size, weight, destination, and service availability. A $10.00 handling fee per box shipped will be added in addition to carrier charges. Payments must be processed before items are released for shipping, and shipping timelines may vary based on auction volume.
Large, fragile, oversized, or irregular items may require special handling or freight shipping. Buyer must contact Tara Crawford at 304-320-8268 or Eric Crawford at 304-320-5883 within five (5) business days to arrange shipping for such items. Failure to coordinate may result in enforcement under Section 10.
19. In-House Shipping; Nonpayment of Shipping
Limited in-house shipping is available only when expressly stated in the auction listing or auction details. If Buyer refuses or fails to pay shipping and handling charges, Buyer is subject to enforcement under Section 10 and no refund will be issued. International buyers are responsible for all customs duties, taxes, and shipping charges.
20. Firearms
IT IS THE BUYER’S RESPONSIBILITY TO KNOW AND COMPLY WITH ALL APPLICABLE FIREARMS LAWS. All firearms shall be shipped only to a buyer-designated, properly licensed FFL dealer. Buyer is responsible for all shipping, transfer, and background-check fees and all legal compliance obligations.
21. Sales Tax; Exemptions
State and local taxes apply as required by the State of West Virginia and applicable local jurisdictions unless a valid exemption is on file prior to payment. Tax exemption documentation must be submitted by email to twincityauction@yahoo.com prior to payment. Any exemption form is acceptable so long as it complies with West Virginia law. Failure to timely provide valid documentation will result in tax being charged.
22. Dispute Authority
All disputes arising out of or relating to any auction, any lot, the conduct of sale, invoicing, pickup, shipping, or these Terms shall be resolved solely by Eric Crawford. His decision shall be final and binding.
23. Severability; No Waiver
If any provision of these Terms is found invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Auctioneer’s failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
24. FIREARMS; LEGAL COMPLIANCE; BACKGROUND CHECKS
Any firearm, ammunition, or firearm-related item (“Firearm”) offered or sold by Auctioneer is subject to all applicable federal, state, and local laws and regulations, including but not limited to the Gun Control Act of 1968, the National Firearms Act, and all regulations promulgated by the Bureau of Alcohol, Tobacco, Firearms and Explosives (“ATF”).
In-State Purchasers
All Firearms purchased through Auctioneer shall be transferred only after completion of a required background check conducted through Twin City Auction Co. LLC or its designated Federal Firearms Licensee (“FFL”), in full compliance with applicable law. No Firearm shall be released to any Buyer until all legal requirements are satisfied and approval is received.
Out-of-State Purchasers
If the Buyer resides outside the State of West Virginia, all Firearms shall be shipped solely to a Federal Firearms Licensee (FFL) designated by the Buyer in the Buyer’s state of residence. Buyer acknowledges and agrees that:
1. The transfer of the Firearm shall be subject to all background checks, waiting periods, documentation, and legal requirements imposed by the receiving FFL and the Buyer’s state and local laws;
2. Buyer is solely responsible for all costs, fees, transfer charges, background check fees, storage fees, or other charges imposed by the receiving FFL;
3. Auctioneer has no control over, and assumes no responsibility for, the policies, procedures, or decisions of the receiving FFL.
No Guarantee of Transfer
Auctioneer makes no representation or guarantee that any Buyer will pass a required background check or be approved for transfer of a Firearm. If a Buyer fails to pass a background check, or if a transfer is denied for any reason, the Buyer shall be deemed in default, and Auctioneer may exercise all remedies available under these Bidder Terms and Conditions, including resale of the Firearm without refund.
Buyer Responsibility
Buyer is solely responsible for knowing and complying with all laws applicable to the purchase, possession, transportation, and ownership of Firearms. No refund shall be issued due to Buyer’s inability to lawfully complete a Firearm transfer.
